These Terms & Conditions ("Terms") govern access to and use of tradelytics.ca and any related services (together, the "Platform"), operated by Tradelytics ("Tradelytics", "we", "us"), headquartered in Markham, Ontario, Canada. By creating an account or otherwise using the Platform, you agree to these Terms on behalf of yourself and the organization you represent ("you", "your Team").

If you do not agree to these Terms, do not use the Platform.

1. What Tradelytics is

Tradelytics is a business directory and RFQ ("request for quotation") matching platform for the oil & gas and industrial equipment supply chain in Vietnam and Southeast Asia. Buyers publish sourcing requirements; suppliers list capabilities and respond with quotes. Matching, verification badges, and messaging exist to make that process faster and more transparent.

Tradelytics is not a party to any transaction between a buyer and a supplier. We do not manufacture, sell, ship, inspect, insure, or take title to any goods or services exchanged between users. Contracts, pricing, delivery, quality, and payment terms for any deal are agreed directly between the buyer and supplier involved, under their own contract — not under these Terms.

Tradelytics bears no responsibility, and will not compensate any user, for any loss, damage, dispute, or liability of any kind arising from a transaction, negotiation, agreement, or relationship between users who found each other, communicated, or did business as a result of using tradelytics.ca — whether that loss relates to product quality, non-delivery, late delivery, payment default, fraud committed by another user, contract breach, or any other cause. Every user deals with every other user entirely at its own risk and on the basis of its own due diligence, and must resolve any such dispute directly with the other party, not with Tradelytics.

2. Eligibility and accounts

The Platform is for business use by companies and professionals sourcing or supplying oil & gas and industrial equipment — it is not a consumer service. By registering, you confirm that you are at least 18 years old, are authorized to bind the organization you register on behalf of, and that the information you provide is accurate.

You are responsible for safeguarding your account credentials and for all activity under your account, including actions taken by other members of your Team. Notify us immediately at hello@tradelytics.ca if you suspect unauthorized access. We may require email verification and, for certain roles, two-factor authentication before granting full access.

We may suspend or terminate an account that provides false information, is inactive for an extended period, or violates these Terms.

3. Verification and the "Verified" badge

Suppliers may submit a business license, tax registration, and industry certifications for review. The "Verified" badge is based solely on the documents and information the supplier itself submitted. Tradelytics does not investigate, audit, or independently confirm whether those documents are genuine or forged, or whether the information in them is true or false. Reviewing a document for basic consistency with the claim made is not the same as authenticating it, and Tradelytics does none of the latter.

Accordingly, the "Verified" badge is not, and must not be relied on as, a guarantee, warranty, endorsement, or certification of any kind — not of the supplier's legal existence, licensing, certifications, financial standing, safety record, product quality, or ability to perform. Tradelytics accepts no legal responsibility or liability whatsoever, to any buyer, supplier, or third party, for any loss or damage arising from a document a supplier submitted turning out to be false, forged, expired, or otherwise inaccurate, or from any claim a supplier made about itself, whether or not that supplier carries a "Verified" badge at the time.

Buyers are solely responsible for conducting their own due diligence — including confirming certification validity directly with the issuing body — before entering into any commercial arrangement with any supplier found on the Platform.

4. Plans, billing, and payment

Tradelytics offers Free, Supplier Pro, Buyer Pro, and Enterprise plans, each with its own limits on listings, RFQs, quotes, contact reveals, and team seats as published on our Pricing page from time to time. Buyer-facing core features remain free; paid plans unlock higher limits and additional capability.

Paid plans are billed monthly in advance, either by credit card through our payment processor (Stripe) or by direct bank transfer in VND, reviewed and activated manually by our team. Bank transfer amounts are calculated using an approximate exchange rate at the time of transfer and are not adjusted retroactively for currency fluctuation.

Subscriptions renew automatically each billing period until cancelled. You may cancel at any time from your Billing settings; cancellation takes effect at the end of the current billing period, and you keep paid-plan access until then. Fees already paid are non-refundable, except where required by law or where we decide otherwise at our discretion.

We may change plan pricing or entitlements with notice published on the Platform or sent to your registered email; continued use after a price change takes effect means you accept the new pricing from your next billing cycle.

5. Listings, RFQs, and user content

You are solely responsible for the accuracy of any listing, RFQ, quote, message, or other content you submit to the Platform ("User Content"). You represent that you have the right to submit it and that it does not infringe any third party's rights or violate any law.

You grant Tradelytics a non-exclusive, worldwide, royalty-free licence to host, display, reproduce, and distribute your User Content as necessary to operate and promote the Platform (for example, showing a published listing in search results or a supplier directory page). This licence ends when you delete the content or close your account, except for copies already shared with a counterparty through an RFQ or quote, or as needed to comply with law.

We may remove or decline to publish User Content that we reasonably believe violates these Terms, is unlawful, or is harmful to the Platform or its users, without prior notice.

6. Prohibited use

You agree not to:

  • impersonate a person or company, or misrepresent your affiliation with one;
  • submit false certification, licensing, or business registration information;
  • use the Platform to circumvent agreed fees by moving a connection made here to another channel solely to avoid a plan limit, where done in bad faith;
  • scrape, harvest, or bulk-extract data from the Platform other than through features we provide for that purpose;
  • interfere with the Platform's security, availability, or normal operation, including by introducing malware or attempting unauthorized access;
  • use the Platform for any unlawful purpose, including violating export control or trade sanctions law applicable to oil & gas equipment.

We may suspend or terminate access, remove content, and/or report conduct to relevant authorities in response to a violation of this section.

7. Intellectual property

The Platform itself — its software, design, taxonomy, matching logic, and Tradelytics branding — is owned by Tradelytics or its licensors and protected by applicable intellectual property law. Nothing in these Terms transfers ownership of the Platform to you. You may not copy, modify, reverse-engineer, or create derivative works from the Platform except as expressly permitted.

8. Disclaimers

The Platform is provided "as is" and "as available." To the fullest extent permitted by law, Tradelytics disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or completely secure, or that any match, quote, or supplier introduction will result in a successful transaction.

9. Limitation of liability

To the maximum extent permitted by law, Tradelytics has no liability of any kind for any loss, damage, cost, or claim arising from or connected to a transaction, negotiation, communication, or relationship between users conducted through, or originating from, the Platform — including losses caused by another user's misrepresentation, non-performance, fraud, or the falsity of any document or certification that user submitted, including one displaying a "Verified" badge (see Sections 1 and 3). This exclusion applies to Tradelytics and its officers, employees, and partners, however the claim is framed (contract, tort, negligence, or otherwise), and whether or not Tradelytics knew or should have known the risk of such loss.

Separately, and to the same fullest extent permitted by law, Tradelytics will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profit, revenue, data, or business opportunity, arising from or related to your use of the Platform itself (as distinct from a transaction between users, addressed above), even if advised of the possibility of such damages.

Where liability for the Platform itself cannot be excluded, Tradelytics' total liability to you for any such claim is limited to the amount you paid us in the 6 months before the event giving rise to the claim, or CAD $500, whichever is greater.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited — including Tradelytics' own fraud or wilful misconduct.

10. Indemnification

You agree to indemnify and hold Tradelytics harmless from any claim, loss, or expense (including reasonable legal fees) arising from your User Content, your breach of these Terms, or your violation of any law or third-party right in connection with your use of the Platform.

11. Termination

You may close your account at any time from your account settings. We may suspend or terminate your access, with or without notice, for violation of these Terms, non-payment, extended inactivity, or where required by law. Sections of these Terms that by their nature should survive termination — including Sections 7 through 10 — continue to apply after your account is closed.

12. Governing law and disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Platform that cannot be resolved informally will be submitted to the courts of Ontario, and you consent to their jurisdiction.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced by email to your registered address or by notice on the Platform at least 14 days before they take effect. Continuing to use the Platform after that date means you accept the updated Terms.
